Governing Law

These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-law principles.

Any dispute arising from or related to use of this website will be subject to the exclusive jurisdiction and venue of the state and federal courts located in Douglas County, Kansas, and you consent to personal jurisdiction in such courts.

Binding Arbitration

Except as otherwise provided in a separate written agreement between HECK and a client or other party, any dispute, claim, or controversy arising out of or relating to these Terms or the use of the website (“Dispute”) shall first be subject to an informal resolution process. The party raising the Dispute must send a written notice describing the nature of the Dispute and the relief sought to the other party (“Notice of Dispute”). The parties shall attempt in good faith to resolve the Dispute informally for at least thirty (30) days after the Notice of Dispute is received. If the Dispute is not resolved within that period, either party may initiate binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator in Douglas County, Kansas. Each party shall bear its own costs and attorneys’ fees in connection with the arbitration, except that the arbitrator may award costs and reasonable attorneys’ fees to the prevailing party if the arbitrator determines the other party’s claim or defense was frivolous or brought in bad faith. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction, including the state and federal courts located in Douglas County, Kansas. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in the state or federal courts located in Douglas County, Kansas, to protect its intellectual property rights or to prevent irreparable harm, without first submitting to arbitration and without the requirement of posting a bond.

Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND HECK EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND IN ANY FORUM. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

Opt-Out Right

You may opt out of the binding arbitration and class action waiver provisions by sending written notice to HECK at the contact address listed below within thirty (30) days of your first use of the website after these Terms become effective. The notice must include your name, mailing address, and a clear statement that you wish to opt out of arbitration. If you opt out, all other provisions of these Terms will continue to apply, and disputes will be resolved in accordance with the Governing Law section.

Nothing in these Terms alters dispute-resolution provisions contained in a separate written agreement between HECK and a client or other party.

Changes to These Terms

HECK may revise these Terms from time to time.

Updated Terms will be posted on this page with a revised “Last Updated” date. Your continued use of the website after an update constitutes acceptance of the revised Terms to the extent permitted by law.

Acceptance at Point of Submission
